Terms of Service
Effective Date: April 1, 2026
Welcome to WatchHUE. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and HUE Media LLC ("HUE Media," "Company," "we," "us," or "our"), governing your access to and use of the WatchHUE platform, including the website at watchhue.com and any associated mobile applications (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Service.
1. Eligibility
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.
2. Account Registration & Security
To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or misleading, or if you violate these Terms.
3. The Service
3.1 Description
WatchHUE is a streaming platform that provides access to curated video content, including original series, independent films, documentaries, live events, and creator spotlights. Content availability may vary by geographic region and subscription tier.
3.2 Content Access Tiers
The Service offers multiple access tiers:
- Free Tier: Access to select free content, trailers, and previews.
- Premium Subscription: Access to the full content library, including original series, premium films, and exclusive content.
- Pay-Per-View: Individual purchase access for select live events, premieres, and special content.
We reserve the right to modify, add, or remove content and access tiers at any time without prior notice.
3.3 Service Availability
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We are not liable for any interruption or discontinuation of the Service.
4. Subscriptions & Payments
4.1 Subscription Terms
Premium subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
4.2 Pricing
Subscription prices are listed on the Service at the time of purchase. We reserve the right to change subscription pricing at any time. If we increase pricing for your current subscription plan, we will provide at least 30 days' advance notice before the new pricing takes effect. Your continued use after the price change constitutes acceptance of the new pricing.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium content through the end of your current billing period. No refunds will be issued for partial billing periods.
4.4 Refunds
Subscription fees are generally non-refundable. Pay-per-view purchases are non-refundable once content playback has begun. We may, at our sole discretion, issue refunds or credits in cases of technical failure or other exceptional circumstances.
4.5 Free Trials
We may offer free trial periods from time to time. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. We reserve the right to limit free trial eligibility.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Infringe upon the intellectual property rights of HUE Media, content creators, or any third party.
- Record, download, copy, redistribute, retransmit, or publicly display any content from the Service without express written permission.
- Circumvent, disable, or interfere with any digital rights management, copy protection, or access control measures.
- Use any automated system, including bots, scrapers, or crawlers, to access the Service.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service.
- Upload, transmit, or distribute any viruses, malware, or other harmful code.
- Harass, abuse, threaten, or intimidate any other users of the Service.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
- Use the Service for any commercial purpose not expressly authorized by HUE Media.
- Share your account credentials or allow others to access your account.
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including reporting to law enforcement authorities and terminating the offender's access to the Service.
6. Intellectual Property
6.1 Our Content
All content available through the Service — including but not limited to text, graphics, logos, trademarks, service marks, images, audio, video, software, and code — is owned by or licensed to HUE Media LLC and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view content on the Service for your personal, non-commercial use. This license does not include the right to:
- Modify, reproduce, distribute, or create derivative works of any content
- Download, cache, or store content except as expressly permitted by the Service (e.g., offline viewing features)
- Use any content for commercial purposes
- Remove or alter any copyright, trademark, or other proprietary notices
6.3 Creator Content
Content created by third-party creators and distributed through the Service remains the intellectual property of the respective creators, subject to the licensing agreements between those creators and HUE Media. Users may not reproduce, distribute, or create derivative works of creator content without the express permission of both HUE Media and the content creator.
6.4 DMCA & Copyright Complaints
We respect the intellectual property rights of others. If you believe that your copyrighted work has been infringed on the Service, please send a notice complying with the Digital Millennium Copyright Act (DMCA) to:
7. User-Generated Content
Certain features of the Service may allow you to submit content, including comments, reviews, ratings, or other materials ("User Content"). By submitting User Content, you:
- Represent that you own or have the necessary rights to submit the content.
- Grant HUE Media a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display your User Content in connection with the Service.
- Acknowledge that you are solely responsible for the content you submit and any consequences thereof.
We reserve the right, but are not obligated, to monitor, edit, or remove User Content at our sole discretion for any reason, including content that violates these Terms or is otherwise objectionable.
8. Third-Party Links & Services
The Service may contain links to third-party websites, services, or content that are not owned or controlled by HUE Media. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. HUE MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICE.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUE MEDIA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- ANY CONTENT OBTAINED FROM THE SERVICE
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO HUE MEDIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless HUE Media LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of and access to the Service
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Any User Content you submit through the Service
- Any claim that your User Content caused damage to a third party
12. Termination
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:
- Your right to use the Service will cease immediately.
- We may delete your account data, subject to our data retention obligations in our Privacy Policy.
- Any outstanding subscription fees for the current billing period are non-refundable.
- Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal legal action, you agree to first contact us at privacy@watchhue.com and attempt to resolve the dispute informally for at least 30 days.
13.2 Arbitration
If the dispute cannot be resolved informally, you and HUE Media agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Ramsey County, Minnesota, unless the parties mutually agree to another location. The arbitrator's decision shall be final and binding.
13.3 Class Action Waiver
YOU AND HUE MEDIA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Ramsey County, Minnesota, and you consent to the personal jurisdiction of such courts.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and HUE Media regarding the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of HUE Media.
- Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force Majeure: HUE Media shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, internet outages, or government actions.
- Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
